Elastic means the entity identified as “Elastic” on the Order Form or in the applicable Agreement (if no Order Form is applicable) and “Customer” means the entity or individual identified as “Customer” on the Order Form or the entity or individual identified in the applicable Agreement as registering to use the Elastic Cloud Service(s) (if no Order Form is applicable). This DPA describes the commitments of Elastic and the Customer (each a “party” and together, the “parties”) concerning the processing of Personal Data in connection with the provision of one or more Elastic Cloud Services (the “Cloud Services”) contemplated by the applicable Agreement. The terms used in this DPA have the meaning set forth in this DPA. Capitalized terms not otherwise defined herein have the meaning given to them in the Agreement. The parties agree as follows:

• Elastic may collect and use Product Usage Data (defined below) for security, support, product and operations management, and research and development.

• Unless Customer provides Elastic a valid state sales/use/excise tax exemption certificate or Direct Pay Permit, and provided that Elastic separately states any such taxes in the applicable invoice, Customer will pay and be solely responsible for all Taxes.

• Elastic hereby agrees that, subject to receiving payment from the Reseller, it shall be responsible to Customer, pursuant to the terms and conditions of this Agreement, for providing the Subscriptions under any such Order Form.

• Elastic shall not be liable for any use or disclosure of such information by such third parties.

• Customer understands and agrees that any features or functions of services or products referenced on any Elastic website, or in any presentations, press releases or public statements, which are not currently available or not currently available as a GA release, may not be delivered on time or at all.
