The EIML Committee shall have full and exclusive power and authority to take or cause to be taken, on behalf of the Company and in its name, any and all actions and decisions required or permitted to be taken by the Company in respect of EIML, and any and all actions taken by the Company and its Subsidiaries with respect to EIML shall require the prior written consent of a majority of the members of the EIML Committee (including ▇▇▇▇▇▇▇ ▇▇▇▇▇ for so long as he serves as a Director).
