The Borrower undertakes to separate the EIB Loan Account from any other of its assets and ensure that payments from such account will only be made for the purposes of implementing the Project in accordance with this Contract, the NIF Documentation (if applicable) and other relevant agreements, if any.
The Borrower also undertakes to ensure that the EIB Loan Account shall at all times be insolvency remote and that no other creditor of the Borrower shall have any access to or rights to receive monies from such account.
Borrower agrees that the proceeds of the Term Loan Advance shall be used solely to (a) refinance existing indebtedness pursuant to the EIB Loan Facility and the Eastward Facility, (b) to pay related fees and expenses in connection with this Agreement, and (c) for working capital and general corporate purposes, including the repurchase of warrants issued to European Investment Bank by Borrower as existing on the Closing Date.

The Borrower undertakes to designate the EIB Loan Account for the purposes or receiving disbursements of the Loan from the Bank.
