E&I Members definition

E&I Members means all colleges and universities that are members of Educational and Institutional Cooperative Service, Inc. (“E&I”) group purchasing program and that have executed an agreement with American Express that is substantially similar to the Original Agreement (each such agreement, a “Member Agreement”) pursuant to the terms of the Joint Procurement Services Agreement (the “E&I Agreement”), dated July 22, 2008, between American Express and E&I.

Examples of E&I Members in a sentence

  • E&I Members will complete an online form (“Letter of Participation”) indicating their desire to purchase products and/or services offered under this Agreement.

  • Notwithstanding the forgoing, Any E&I Members who are existing customers of Supplier will automatically be converted to this Agreement (unless the E&I Member elects to opt out through written notification).

  • Company understands and agrees that American Express is bound by confidentiality terms under its agreements with other E&I Members and therefore will not disclose any other E&I Member’s CPC-NACV to Company.

  • Core Market Basket consists of 225 most commonly purchased items by E&I Members.

  • This completed form will be made available to E&I Members for their use while considering their purchasing options.

  • For the avoidance of doubt, Supplier is not obligated to accept any order from E&I Members.

  • E&I Members will complete an online form (“Letter of Participation”) indicating their interest in receiving information from Supplier about how to purchase products and/or services offered under this Agreement.

  • E&I Members may also require Supplier to enter into ancillary agreements, in addition to E&I’s Master Agreement’s general terms and conditions, to address the Member’s specific contractual needs, including but not limited to, contract requirements for a procurement using federal funds.

  • For the avoidance of doubt, the CPC-NACV of all E&I Members for any Contract Year shall only be aggregated for the purposes of determining the Base Incentive Rate that will be used for such Contract Year to calculate your Base Incentive Amount.

  • The CAF will be a percent of total invoice price (net delivered price, excluding taxes, freight, storage, special handling fees, and credits) for all orders placed by E&I Members, including those Institutions that are not Members of E&I, existing customers if they switch to the E&I contract, as well as K-12 school districts that choose to utilize the E&I contract for all products and services.

Related to E&I Members

  • Class B Members means the Members holding Class B Units.

  • Class A Members means those Members who have purchased Class A Interests.

  • New Members As Defined By the Public Employees’ Pension Reform Act of 2013 (PEPRA)

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.
