  • For the avoidance of doubt, “Aggregate E&I Member CPC-NACV” does not include any charge volume of an E&I Member on a CPC account issued by American Express to the E&I Member pursuant any arrangement other than the E&I Agreement.

  • The Ground Lease, the EI Agreement and the Easement will be entered into between the Companies effective on the Ownership Date.

  • If (a) your corporate structure changes due to a merger, acquisition, divestiture, or for any other reason, (b) you cease to be an E&I Member, or (c) the E&I Agreement terminates for any reason, then this Financial Appendix may be terminated and renegotiated by American Express at its sole discretion.

  • Roads so added are subject to all Sections of this agreement and may be subject to the additional provision.

  • The Companies undertake to work together in good faith to resolve by negotiation and agreement any claim or dispute that may arise out of this Agreement, the Joint Operating Manual, the Ground Lease, the EI Agreement, the Confidentiality Agreement or the Easement.

  • This Confidentiality Agreement shall apply to, without limitation, all information, data and materials exchanged between the Companies under or in connection with this Agreement, the Joint Operating Manual, the Ground Lease, the EI Agreement or the Easement.

  • Any delay, short of the statutory period of limitation, in asserting or enforcing any right or remedy under this Agreement, the Joint Operating Manual, the Ground Lease, the EI Agreement, the Confidentiality Agreement or the Easement shall not be deemed a waiver of such right or remedy.
