Unless otherwise agreed by JPMP, EEIF and UFI, Telesystem, CDPQ and the Board shall put forward among their nominees such number of resident Canadians as may be required to satisfy the resident Canadian director requirements under the CBCA.

In the event that EEIF decides not to sell its Qualifying MobiFon Shares as a block with those of the TIW Group, then TIWC shall be allowed to proceed alone in the marketing and selling of its shares in CLEARWAVE, subject to rights granted to EEIF under section 2 and 3 above and rights granted to TIWC under section 4 above.
TIWC and EEIF shall during such consultation seek in good faith to agree on the key terms of any such sale (including without limitation a range of acceptable prices but subject, in any event, to section 2.3.3).
Each of TIW, MobiFon Holdings and EEIF acknowledges that, at the date hereof, it does not have knowledge of, nor has it been informed in writing by its advisors that such advisors are aware of, any breach or potential breach of Warranty and such acknowledgement shall be deemed repeated by each party as of the Completion Date.
EEIF CV has the power and authority to execute, deliver and perform its obligations under this Agreement.
The Warranties made by TIW and MobiFon Holdings as of the Completion Date shall be made subject to any further disclosures to EEIF on or before Completion in a form and substance satisfactory to EEIF.
