Educational Client means a Course participant accessing the RSU TV Sub-portal through the Workforce System or whose Course expense is paid for by a state or local grant.

  • Grammarly's point of contact/data custodian shall be the Grammarly account executive assigned to Educational Client.

  • Educational Client shall provide any required notice to Users of any such disclosure, and shall obtain and maintain any required consents from such Users.

  • If Educational Client is a school district or otherwise is contracting on behalf of multiple FERPA-covered educational institutions, individual schools within Educational Client’s organization may disclose requested data on Educational Client’s behalf, and such disclosures shall be deemed to be made by Educational Client pursuant to this EDU Addendum.

  • Educational Client will only disclose Protected Information that is required to enable Grammarly to provide the Service.

  • Protected Information remains the property of Educational Client, and Grammarly’s use of Protected Information is subject to the direct control of Educational Client.

  • If Grammarly becomes compelled by law or regulation (including securities laws), subpoena, court order, or other administrative directive to disclose any Protected Information, Grammarly will provide Educational Client with prompt written notice, to the extent permitted by law, so that Educational Client may seek an appropriate protective order or other remedy.

  • If a remedy acceptable to Educational Client is not obtained by the date that Grammarly must comply with the request, Grammarly will furnish only that portion of the Protected Information that it is legally required to furnish, and Grammarly shall take reasonable steps to require any recipient of the Protected Information to exercise commercially reasonable efforts to keep the Protected Information confidential, to the extent permitted by law.

  • Grammarly shall not disclose Protected Information to any other party, other than a subcontractor or agent, or use Protected Information for any other purpose without the prior written consent of Educational Client.

  • Educational Client may request access, correction, or deletion of Protected lnformation by logging into its account and submitting a support ticket.

  • If at any time Educational Client does not have such authority, it will notify Grammarly as soon as possible.
