EDS Services definition

EDS Services means information technology and/or consulting services provided by EDS for a customer with respect to webMethods Products.
EDS Services consist of the services set forth on one or more Ordering Documents referencing this EDS Schedule and signed by Client and an Equifax Affiliate and may include the following, as applicable: (a) all output returned from use of the EDS Services including, but not limited to, the scores, flags, reason codes, reports, risk control opinions, authorization codes and similar results (each an “Indication”); (b) summary, statistical or other reports such as, but not limited to, those generated by the Kount Risk Inquiry System that provide details of previously authorized Client transactions (each a “ Report”); (c) the most current technical manuals, instructions, user guides and other written materials, whether in printed or electronic form, generally made available to customers to facilitate proper use of the EDS Services (“Documentation”); and (d) related support, professional services or training listed. The EDS Services are a subset of Services under the Enterprise Agreement.
EDS Services means the services to be performed by EDS under any Work Order.

Examples of EDS Services in a sentence

  • Such reproduction and use shall be limited to authorized EDS employees and contractors and to such copying and use as is required to carry out the EDS Services for PointCast under this Work Order.

  • The EDS personnel performing the EDS Services will be and remain the employees of EDS, and EDS will provide for and pay the compensation and other benefits of such employees, including salary, health, accident and workers' compensation benefits and all taxes and contributions which an employer is required to pay relating to the employment of employees.

  • PointCast will reimburse EDS, in accordance --------------------------- with the requirements set forth in Section 7 of the Agreement, for all reasonable travel and travel-related, living and other out-of-pocket expenses (without any markup) incurred by EDS for travel authorized by PointCast in connection with the EDS Services provided under this Work Order.

  • During the term of this Agreement and for a period of 12 months thereafter, neither party will solicit, directly or indirectly, for employment or employ any employee of the other who is or was involved in the performance of the EDS Services without the prior written consent of the other.

  • BuildNet will provide the BuildNet Facilities and the items described in this SECTION 1 in a manner such that they (a) are kept free of health and safety hazards, (b) comply with and are maintained in compliance with all applicable local, state and federal laws, including the Americans with Disabilities Act, and (c) meet such operational, environmental and safety requirements as are required for EDS to perform the EDS Services.

  • The EDS Services will consist of: (a) the Statement of Work, attached hereto as Schedule 3.2; (b) Schedule 3.2(a) (the “Service Levels”); (c) the services described in the Migration Plan; (d) the Responsibility Matrix, attached hereto as Schedule 3.2(b); the supported locations as described in Schedule 3.2(c) attached hereto; and (e) such other information technology services as may be agreed upon in writing by the Parties and by reference to this Agreement made a part hereof.

  • EDS represents and warrants that ail EDS Services will be performed in a professional and workmanlike manner in accordance with industry standards.

  • EDS and PointCast expressly acknowledge that the limitations contained in this Section 15 have been the subject of active and extensive negotiation between the parties and represent the parties' agreement based upon the level of risk to EDS associated with the performance of the EDS Services and the payments provided hereunder to EDS for such performance.

  • Within ninety (90) days of the Effective Date, EDS and -------------- Allin will, in good faith, attempt to establish a plan to market the Allin Services and EDS Services under a joint marketing plan (the "Marketing Plan").

  • EDS and Allin shall cooperate with each other in --------------------- preparing materials to promote the Allin Services and EDS Services, including, but not limited to, brochures, slides and other presentation materials ("Promotional Materials").

Related to EDS Services

  • Goods/Services means the goods and/or services detailed in the Purchase Order issued by Versuni Supplier; “Intellectual Property Rights” (or “IPR”) means all intellectual property rights of any nature applied for or existing anywhere in the world for their full term and together with any revivals, renewals or extensions. “Purchase Order” means the Versuni purchase order issued by Versuni to procure Goods/Services from the Supplier, to which these conditions are attached by reference;;

  • SaaS Services means software as a service consisting of system administration, system management, and system monitoring activities that ▇▇▇▇▇ performs for the Tyler Software, and includes the right to access and use the Tyler Software, receive maintenance and support on the Tyler Software, including Downtime resolution under the terms of the SLA, and Data storage and archiving. SaaS Services do not include support of an operating system or hardware, support outside of our normal business hours, or training, consulting or other professional services. • “SLA” means the service level agreement. A copy of our current SLA is attached hereto as Exhibit C.

  • Products/Services means the goods/benefits/facilities offered by the Alliance Partner.

  • Wireless services means any services, provided using licensed or unlicensed spectrum, including the use of Wi-Fi, whether at a fixed location or mobile.

  • Wireless services provider means a person who provides wireless services.
