EDS Contracts definition

EDS Contracts means (i) those Contracts entered into by an EDS Entity, (ii) those Contracts identified in Schedule 20 (EDS Contracts), and (iii) those Contracts to which any member of the Seller’s Group is a party and which have been entered into exclusively in the course of conducting the EDS Business, in each case to the extent in force and effect as at Completion, and in each case excluding any Shared Business Contract and any Intercompany Contract.

  • Third party agreements for Software, hardware or equipment that are used for the proper performance of the Services, including Software licenses and equipment leases listed on Exhibit 12 (“Unleveraged Third Party EDS Contracts”) shall be assignable to Customer, without cost, upon the expiration or termination of this Agreement (unless such requirement is waived by Customer), and EDS agrees to make an assignment of any or all of the Unleveraged Third Party EDS Contracts promptly upon Customer's request.
