Editek shall have issued the Preferred Stock for an aggregate gross purchase price of not less than $16,000,000, and Editek shall have received the net cash proceeds from such issuance in an amount not less than $15,040,000.

On any day when a Borrower desires to borrow under this subsection 2.1, Editek, acting as agent for such Borrower, shall give Lender telephonic notice of the proposed borrowing by 11:00 a.m. (Chicago time).
