EDINET definition

EDINET means the Electronic Disclosure for Investors’ NETwork (electronic data processing system as prescribed in Article 27-30-2 of the Financial Instruments and Exchange Act).

  • In case where the Borrower discloses the Reports electronically via the electronic disclosure system concerning disclosure documents including securities reports pursuant to the Financial Instruments and Exchange Act (EDINET, web address: ▇▇▇▇://▇▇▇▇.▇▇▇▇▇▇.▇▇.▇▇/), it is deemed that the Borrower has made the aforementioned submission by notifying the Lender that such disclosure was made.

  • If disclosure is done via EDINET (Electronic Disclosure for Investors’ Network), then the Parent Borrower may notify the Facility Agent and all the Lenders of such fact in lieu of submitting the copies, however, even in such case, the Parent Borrower shall promptly submit the copies of relevant Reports, etc.

  • If the Borrower made the Reports available online through EDINET, copies thereof shall be deemed to be submitted to the Lender at the time of such online disclosure.

  • The IR Information service uses reliable data such as the information officially provided by the timely disclosure network "TDnet" which Tokyo Stock Exchange manages, and the information officially provided by the EDINET of Japanese Financial Services Agency.
