Edifecs definition

Edifecs means Edifecs, Inc. and its affiliates who provide Services to Customers. Throughout the majority of this document, Edifecs is referred to as Business Associate.

  • At Edifecs’ request, you will obtain the execution of any instrument necessary to assign these rights to Edifecs or perfect these rights in Edifecs’ name.

  • Edifecs retains all right, title and interest (including rights of copyright, trademark, trade secret, patent, and all other intellectual property), in the Software and the Documentation, and any copies thereof.

  • The Services may be provided by Edifecs resources in the United States and other global delivery centers, provided no Protected Health Information (as defined under the Health Insurance Portability and Accountability Act) will be stored or transferred offshore.

  • Edifecs has no obligation to provide the license keys to the Software until Licensee has paid the applicable license fees.
