  • This EDC Lease Agreement shall be governed by and construed in accordance with the laws of the Philippines.

  • During the period when this EDC Lease Agreement is suspended pursuant to this Clause, Rentals shall continue to be payable by the Merchant.

  • Tenant shall not cause or take any action or inaction or cause or permit any Tenant representatives to take any action or which would constitute a default by Landlord under the EDC Lease, which occurrence would be deemed a default by Tenant under Section 22 of this Lease.

  • In the event of a force majeure, this Agreement shall be suspended until such time as the force majeure has passed whereupon this EDC Lease Agreement shall resume to take effect.

  • This EDC Lease Agreement shall continue for the Term as defined in Clause 1 and as provided in the overleaf and shall be automatically renewed for successive period of the same duration as the Term unless otherwise notified by either party hereto, which notice must be given at least one (1) month before the expiry of the existing term or renewed term.

  • Upon receipt of the Merchant of aforesaid notice, the EDC Lease Agreement is deemed terminated.
