This Agreement shall terminate on the later of (i) the Termination Date and (ii) the date on which all obligations in respect of any outstanding Support and any EDC Agreements shall have been satisfied in their entirety; provided, however, that no such termination shall affect any agreements hereunder which are intended to survive any such termination, including without limitation Sections 7.3, 7.6, 7.7 and 7.9) hereof or any indemnity, guarantee or reimbursement obligations under any Indemnity Agreements.
The Principal agrees that it shall pay to EDC such fees as may be required under the terms and conditions of any of the EDC Agreements and the Principal further acknowledges that, notwithstanding any stipulation to the effect that a fee is payable to EDC by a third party under any of the EDC Agreements, the Principal may, pursuant to an agreement with such third party or with EDC, be liable for the payment of such fee.
