Seed Equity definition

Seed Equity has the right to reject this Subscription in whole or in part for any reason. The Subscriber may not cancel, terminate or revoke this Agreement, which, in the case of an individual, shall survive his death or disability and shall be binding upon the Subscriber, his heirs, trustees, beneficiaries, executors, personal or legal administrators or representatives, successors, transferees and assigns.

  • The parties acknowledge that there are no third-party beneficiaries of this Agreement, except for any affiliates of Seed Equity that may be involved in the issuance or servicing of Class B Units on Budding Equity's platform, which the parties expressly agree shall be third party beneficiaries hereof.

  • In the event that you file or enter bankruptcy, insolvency or other similar proceeding, you agree to use the best efforts possible to avoid Seed Equity being named as a party or otherwise involved in the bankruptcy proceeding.

  • In connection with the purchase and sale of the Class B Units, Seed Equity is not acting as your agent or fiduciary.

  • Furthermore, this Agreement should be interpreted so as to prevent, to the maximum extent permitted by applicable law, any bankruptcy trustee, receiver or debtor-in-possession from asserting, requiring or seeking that (i) you be allowed by Seed Equity to return the Class B Units to Seed Equity for a refund or (ii) Seed Equity be mandated or ordered to redeem or withdraw Class B Units held or owned by you.

  • The Subscriber understands that the Purchase Price is payable with the execution and submission of this Agreement, and accordingly, is submitting herewith to Seed Equity the Purchase Price as agreed to by Seed Equity on the Site.

  • You acknowledge and agree that the purchase and sale of the Class B Units pursuant to this Agreement is an arms-length transaction between you and Seed Equity.

  • Seed Equity has not provided you with any legal, accounting, regulatory or tax advice with respect to the Class B Units, and you have consulted your own respective legal, accounting, regulatory and tax advisors to the extent you have deemed appropriate.

Related to Seed Equity

  • Excluded Equity means any Voting Stock in excess of 66% of the total outstanding Voting Stock of any direct Subsidiary of any Grantor that is a Non-U.S. Person. For the purposes of this definition, “Voting Stock” means, as to any issuer, the issued and outstanding shares of each class of capital stock or other ownership interests of such issuer entitled to vote (within the meaning of Treasury Regulations § 1.956-2(c)(2)).

  • Adjusted Equity means the Equity funded in Indian Rupees and adjusted on the first day of the current month (the “Reference Date”), in the manner set forth below, to reflect the change in its value on account of depreciation and variations in WPI, and for any Reference Date occurring:

  • Transferred Equity means the equity interest in the Company which the WFOE has the right to request either of the Company Shareholders to transfer to it or its designated entity or individual in accordance with Article 3 hereof when the WFOE exercises its Equity Transfer Option, the quantity of which may be all or part of the Option Equity and the specific amount of which shall be determined by the WFOE at its sole discretion in accordance with the then-effective PRC Law and based on its commercial consideration.

  • Permitted Equity Interests means common stock of the Borrower that after its issuance is not subject to any agreement between the holder of such common stock and the Borrower where the Borrower is required to purchase, redeem, retire, acquire, cancel or terminate any such common stock.

  • Qualified Equity Interests means all Equity Interests of a Person other than Disqualified Equity Interests.
