The presence of at least one ECP Manager and one ADA-ES Manager shall be necessary and sufficient to constitute a quorum for the transaction of business at any meeting of the Board; provided that if at any time the ADA-ES Side or the ECP Side loses its right to designate one or more Managers pursuant to the operation of Section 5.3(a)(i) or 5.3(a)(ii), then the presence of at least two Managers shall be necessary and sufficient to constitute a quorum.

If a dispute arises concerning individual MSA Sites, the BP project manager and the applicable ECP personnel and ECP Manager, as appropriate, shall attempt in good faith to resolve this dispute through negotiation.
