  • All issued and outstanding shares of ECOSYS Common Stock are validly issued and outstanding, fully paid and non-assessable and free of pre-emptive rights.

  • The obligation of ECOSYS to consummate the Transaction is subject to the satisfaction or waiver of the conditions set forth below on or before the Closing Date or such earlier date as hereinafter specified.

  • To the knowledge of ECOSYS, all of the shares of ECOSYS Common Stock issued and outstanding immediately prior to the date of this Agreement have been issued in compliance with the 1933 Act and applicable state securities laws in reliance on exemptions from registration or qualification thereunder.

  • There are not Liens for Taxes (other than Taxes not yet due and payable) upon any of the assets of ECOSYS.

  • The representations and warranties of ECOSYS set forth in this Agreement will be true, correct and complete in all respects as of the Closing Date, as though made on and as of the Closing Date and ECOSYS will have delivered to AMZO a certificate dated the Closing Date, to the effect that the representations and warranties made by ECOSYS and in this Agreement are true and correct.
