ECF Distribution Amount definition
ECF Distribution Amount means, for any fiscal year of the Parent, the sum of (a) (i) to the extent there shall be Excess Cash Flow for the immediately preceding fiscal year, the lesser of (x) Excess Cash Flow for the immediately preceding fiscal year that is not required to be applied to prepay Loans pursuant to Section 2.05(b)(ii) (calculated without giving effect to any prepayments of Term Loans made pursuant to Section 2.05(a) during such fiscal year) and (y) 75% of the Excess Cash Flow for the immediately preceding fiscal year or (ii) to the extent there shall be Cash Losses for the immediately preceding fiscal year, the aggregate amount of such Cash Losses plus (b) the ECF Distribution Carryover Amount for the immediately preceding fiscal year. The ECF Distribution Amount for any fiscal year shall be determined as of the date on which annual financial statements are delivered pursuant to Section 6.01(a) with respect to the immediately preceding fiscal year for which Excess Cash Flow is being calculated (and in any event no later than 90 days after the end of such immediately preceding fiscal year).
