EBUs definition
EBUs means (i) the number of residential households that subscribe to Basic Cable (exclusive of secondary outlets and courtesy accounts) which pay the standard rate for Basic Cable in each System without discount, each of which has paid in full without discount at least one monthly ▇▇▇▇ generated in the ordinary course of business, none of which is pending disconnection for any reason, none of which is, as of the Closing Date, delinquent in payment for services for more than sixty days, and none of which has been obtained as a subscriber within the twelve month period preceding the Closing Date by offers made, promotions conducted and discounts given outside the ordinary course of business, plus (ii) the number of equivalent bulk subscribers (determined by ---- dividing the aggregate dollar monthly amount collected from bulk/commercial accounts for Basic Cable by the monthly rates for Basic Cable in each System), each of which has paid in full without discount at least one monthly ▇▇▇▇ generated in the ordinary course of business, none of which is pending disconnection for any reason, none of which is, as of the Closing Date, delinquent in payment for services for more than sixty days none of which is, as of the Closing Date, delinquent in payment for services for more than sixty days, and none of which has been obtained as a subscriber within the twelve month period preceding the Closing Date by offers made, promotions conducted and discounts given outside the ordinary course of business, provided, there shall be excluded from the definition of EBU any subscriber or equivalent bulk subscriber who comes within the definition of "EBU's" because its account has been compromised or written off within the twelve month period preceding the Closing Date, other than in the ordinary course of business consistent with past practices for reasons such as service interrupted or waiver of late charges but not for the purpose of making it qualify as an EBU.
EBUs means as of a determination date, the sum (without duplication) of: (i) the number of Expanded Basic Subscribers; (ii) the number of Broadcast Basic Subscribers not otherwise included as Expanded Basic Subscribers (but in no event shall more than 222 Broadcast Basic Subscribers be included for purposes of this clause (ii)); and (iii) the number that is obtained by dividing (A) the aggregate monthly ▇▇▇▇▇▇▇▇ for the most recent billing period ended prior to the determination date for each commercial establishment or multi-unit dwelling that pays a bulk rate for Expanded Basic Service (excluding, in all cases for purposes of the preceding clause any charges for premium service, pay-per-view programming, a la carte tiers, digital tiers, internet access, franchise fees and any other pass through items and any charges for rental converters, remote control devices and other like charges for equipment), by (B) the greater of the non-discounted monthly rate for Expanded Basic Service in effect during such billing period or the applicable current rate charged by the System as of the date of this Agreement and set forth on Schedule 5.19(b). For purposes of this definition of “EBUs,” an “Expanded Basic Subscriber” or a “Broadcast Basic Subscriber” means any household, commercial establishment or unit of a multi-unit dwelling (including a hotel) that as of the determination date is paying for and receiving at least Broadcast Basic Service from the System who has an account that is not more than 60 days past due. For purposes of this definition of “EBUs,” an “Expanded Basic Subscriber” or a “Broadcast Basic Subscriber” does not include any customer, other than a Promotional Subscriber, that as of a determination date has not paid for at least one month of service at the System’s standard monthly rates. For purposes of this definition of “EBUs,” the number of days past due of a customer account will be determined from the last day of the period for which the applicable billing relates.

For purposes of the foregoing, excluded are that portion of the ▇▇▇▇▇▇▇▇ to each bulk billed account representing an installation or other non-recurring charge, a charge for equipment or for any additional outlet, a charge for any tiered service (whether or not included within Pay TV), Digital Services, or a pass-through charge for sales Taxes, line-itemized franchise fees and similar charges.

EBUs means, as of any date of determination, the sum of: (i) the number of Active Customers of the Systems that subscribe to either Basic Service or Expanded Basic Service in a single household (without duplication) and (ii) the number of Active Customers of the Systems that are Commercial Video Subscribers to either Basic Service or Expanded Basic Service (without duplication); provided, that the number of Active Customers of the Systems that are Commercial Video Subscribers shall be determined by dividing the gross bulk-rate revenue for Basic Service or Expanded Basic Service (but not revenues from tier or premium services, installation or converter rental or from any outlet or connection other than such customer’s first or from any pass-through charges for sales taxes, line-itemized franchise fees, fees charged by the FCC and the like) attributable to such Commercial Video Subscribers during the most recent billing period ended prior to the date of calculation (but excluding ▇▇▇▇▇▇▇▇ in excess of a single month’s charge) by the applicable subscription rate for Basic Service and/or Expanded Basic Service for individual households within the System to which such Commercial Video Subscriber subscribes.
EBUs means, as of any date and for any System, all Active Customers who subscribe to either Basic Services or Expanded Basic Services, without duplication, of such System who are billed for such service, as the case may be, either in a single household, a commercial establishment or in a multi-unit dwelling (including a hotel unit); provided, that the number of subscribers in a multi-unit dwelling or commercial establishment (each, a “Building”) that obtain service on a “bulk-rate” basis will be determined by dividing the gross bulk-rate ▇▇▇▇▇▇▇▇ for both Basic Services and Expanded Basic Services, without duplication, (but, in each case, excluding ▇▇▇▇▇▇▇▇ from a la carte tiers, Digital Services or Pay TV, installation or other non-recurring charges, converter rental or new product tiers or from any outlet or connection other than such customer’s first, or from any pass-through charges for sales taxes, line-itemized franchise fees, fees charged by the FCC and the like) attributable to such Building during the most recent billing period ended prior to the date of calculation (but excluding ▇▇▇▇▇▇▇▇ in excess of a single month’s charge) by the retail rate charged during the billing period to individual households in the applicable service area for Basic Services or combined Basic Services and Expanded Basic Services, according to the level of service provided to a particular Building, from such System as of the most recent billing period (but, in each case, excluding a la carte tiers, Digital Services or Pay TV, installation or other non-recurring charges, converter rental or new product tiers or from any outlet or connection other than the first, or from any pass-through charges for sales taxes, line-itemized franchise fees, fees charged by the FCC and the like). For example, if the gross bulk-rate ▇▇▇▇▇▇▇▇ for both Basic Services and Expanded Basic Service (with the exclusions described above) for a multi-unit dwelling for a billing period are $250 and the retail rate charged during that billing period to individual households (with the exclusions described above) is $50, then that multi-dwelling unit will have five (5) EBUs.

When determining the number of Equivalent Billing Units or EBUs, the Parties shall credit only payments received from Active Customers in good faith and shall treat all payments received, unless otherwise specifically contested, as applicable to the earliest period for which any Account Receivable is due and payable from the customer making the payment. In no event shall any credit, rebate or similar form of price concession be taken into account when determining whether or not a an account qualifies as an Equivalent Billing Unit or EBU unless such credit, rebate or similar form of price concession is given in the ordinary course of business and not for the purpose of qualifying an account as an Equivalent Billing Unit or EBU.
