EBITDAF means, with respect to each Subsidiary, the amount determined on a consolidated basis for such Subsidiary (as reflected in the audited consolidated financial statement of such Subsidiary for the Measuring Fiscal Year) equal to (i) income from operations, plus (ii) depreciation of its property, plant and equipment and amortization of intangible assets, plus (iii) such Subsidiary's Operating Financing Charges.
