EBITDAC definition

EBITDAC means the sum of net income plus (i) interest expense, (ii) taxes, (iii) depreciation and amortization, (iv) consulting fee expense and (v) the amount of any non-cash deduction to consolidated net income as a result of any grant to any members of the management or employees of such Person of any Capital Stock to the extent such deduction is included in the calculation of net income of such Person for such period.
EBITDAC set forth in ss.1.1 of that certain Revolving Credit Agreement As of February 24, 1994 By and Among APCOA, Inc., the First National Bank of Boston and Other Banks Listed on Schedule 1 [thereto], and the First National Bank of Boston as Agent for the Banks (the "Revolving Credit Agreement") plus all bank charges (other than interest) incurred by the Company for such calendar year, and (b) X equals 15% of the Company's Average Invested Capital (as defined below) for the calendar year.

  • EBITDA means, with respect to any Person for any period, the Consolidated Net Income of such Person for such period

  • TTM EBITDA means, as of any date of determination, EBITDA of Borrower determined on a consolidated basis in accordance with GAAP, for the 12 month period most recently ended.

  • Adjusted EBITDA means, with respect to any Person for any period, the Consolidated Net Income of such Person for such period plus, without duplication, to the extent the same was deducted in calculating Consolidated Net Income:

  • Adjusted EBITDA Margin means Adjusted EBITDA calculated as a percentage of Adjusted Revenue.

  • LTM EBITDA means Consolidated EBITDA of the Company measured for the period of the most recent four consecutive fiscal quarters ending prior to the date of such determination for which internal consolidated financial statements of the Company are available, in each case with such pro forma adjustments giving effect to such Indebtedness, acquisition or Investment, as applicable, since the start of such four quarter period and as are consistent with the pro forma adjustments set forth in the definition of “Fixed Charge Coverage Ratio.”
