EBITDA Grower Amount definition
EBITDA Grower Amount means Consolidated EBITDA of the Borrower Parties for the most recently ended Test Period.
EBITDA Grower Amount means the Consolidated EBITDA of the Borrower Parties as of the most recently ended four fiscal quarter period for which internal financial statements are available, calculated on a Pro Forma Basis.
EBITDA Grower Amount means as of any date of determination with respect to any Test Period, Consolidated EBITDA of the Borrower Parties for such Test Period, in each case on a Pro Forma Basis and giving effect to any acquisition consummated concurrently therewith and all other appropriate pro forma adjustment events consistent with the definition of “Consolidated EBITDA” and Section 1.11.
Examples of EBITDA Grower Amount in a sentence
If any of the baskets set forth in this Agreement are exceeded solely as a result of fluctuations to EBITDA Grower Amount and/or Consolidated Total Assets for the most recently completed fiscal quarter after the last time such baskets were calculated for any purpose under this Agreement, such baskets will not be deemed to have been exceeded solely as a result of such fluctuations.
