  • Prior to the commencement of any work in or near the Building (including, but not limited to periodic installation of the Equipment), EATEL shall, at its sole cost and expense, prepare and deliver to Building Owner, work plans describing all proposed construction and work.

  • If the Customer cancels this agreement before the in service date, the Customer shall reimburse EATEL Business Systems for all expenses theretofore incurred by EATEL Business Systems in purchasing, installing, engineering and designing facilities and equipment and otherwise performing or preparing to perform by EATEL Business Systems pursuant to this agreement.

  • Nothing contained herein shall be construed as granting to (i) EATEL any property or ownership rights in the real or personal property of Building Owner, (ii) title to Building Owner of any right, or interest in and to the Equipment, or (iii) creating a partnership, or joint venture relationship between Building Owner and EATEL.

  • Any dispute, claim, or grievance arising out of or relating to the interpretation or application of this agreement may be submitted to the superintendent of the District and the superintendent of OESD 114 for resolution.

  • Building Owner shall execute all consents to assignment and/or acknowledgments of any security interest as are requested by EATEL to give effect to the foregoing.

  • If EATEL Business Systems is required to hire or pays money to someone else to help enforce this agreement or to collect any indebtedness, the Customer hereby agrees to pay EATEL Business Systems attorney’s fees and legal expenses for bankruptcy proceedings, (and including efforts to modify or vacate any automatic stay or injunction), appeals, and any anticipated post judgement collection services.

  • EATEL shall cause each such Third Party to comply with the terms and conditions of this Agreement and shall cause the removal from the Building of any such Third Party to which Building Owner (acting reasonably) objects.

  • EATEL Business Systems shall in no event be liable for a special, incidental, or consequential damages.
