Earned Units definition
Earned Units means, with respect to each Performance Period, the number of Units (rounded up to the nearest whole Unit), if any (not to exceed the Maximum Number of Units for such Performance Period) shall be equal to the product of (i) the Target Number of Units for such Performance Period multiplied by (ii) the Relative TSR Multiplier; provided, however, that if the Company’s TSR for the Performance Period is a negative number, then the number of Earned Units shall not exceed 100% of the Target Number of Units.
Earned Units means the number of Units (rounded up to the nearest whole Unit), if any (not to exceed the Maximum Number of Units) shall be equal to the product of (i) the Target Number of Units multiplied by (ii) the Performance Multiplier. If the Threshold Goal is not attained during the Performance Period, no Units are eligible to become Earned Units or Vested Units.
Earned Units means, collectively, the Performance Earned Units and the Dividend Earned Units.
Examples of Earned Units in a sentence
The number of Earned Units shall continue to vest based solely on time and shall vest on the Vesting Date, subject to the Grantee remaining in continuous Employment through such date, except as otherwise provided for herein.
The Earned Units will be calculated as the greater of (i) the actual performance of the Company treating the date of the Change in Control as the end of the Performance Period, and (ii) 100% of the Target Award.
Subject to Section 5 below, the Company shall, as soon as practicable upon the vesting of the Performance Share Units (but in no event later than the earlier of (i) thirty (30) days following the Vesting Date or (ii) March 15 following the last day of the Performance Period), effect delivery of the Shares with respect to the Earned Units to the Grantee.
More Definitions of Earned Units
Earned Units means the number of Performance Share Units that are earned pursuant to this Schedule A based upon the Compensation and Human Capital Committee’s (the “Compensation Committee”) certification of the Company’s achievement of the Average Adjusted EBITDA, and subject to satisfaction of the vesting conditions of the Agreement, rounded down to the nearest whole Share. The Performance Share Units shall become Earned Units, if at all, on the date that the Compensation Committee certifies the Company’s achievement of the Average Adjusted EBITDA following the end of the Performance Period, which shall be a condition to the vesting of any Performance Share Units hereunder. f. “Performance Period” means the three-year period beginning on January 1, 2026 and ending on December 31, 2028.
Earned Units with respect to a Company PSU has the applicable meaning for such term as defined in and determined in accordance with the terms of the applicable performance stock unit agreement for such Company PSU, and each of which individual stock unit is an “Earned Unit”; provided, however, that with respect to each Company PSU, for purposes of determining the applicable number of Earned Units that are subject to such Company PSU, the applicable performance conditions for such Company PSU will be deemed satisfied at the level of performance as set forth in Section 1.5(b) of the Company Disclosure Schedules.
Earned Units means the number of Units (rounded up to the nearest whole Unit), if any (not to exceed the Maximum Number of Units), equal to the product of (i) the Target Number of Units multiplied by (ii) the Relative TSR Multiplier; provided, however, that if the fair market value of the Earned Units, determined by multiplying the number of Earned Units by the Fair Market Value on the day immediately prior to the Settlement Date (the “Delivered Value”), is greater than seven (7) times the fair market value of the target award on date of grant, determined by multiplying the target number of units by the Fair Market Value on the Grant Date (the “Cap”), the number of Earned Units shall be reduced to the whole number of Earned Units such that the Delivered Value is as close as possible to, but does not exceed, the Cap and the Participant shall have no right to receive any shares of Stock that relate to such required reduction in the Earned Units.

Earned Units means, with respect to each 2020 Company Performance Award, the number of performance-based restricted stock units or the number of performance-based phantom stock units, as applicable, earned under the terms of the applicable award agreement, but with the applicable total shareholder return metric determined using a per share price equal to the Merger Consideration and other performance-based metrics determined based on actual performance through the end of the performance period applicable to such 2020 Company Performance Award.
