EAR Payments. – means all payments due and owing on or as of the Closing Date with respect to any EARs. “EAR Plan” – means the Western Pneumatic Tube Holding, LLC 2007 Equity Appreciation Rights Plan. “Employee Plan” – as defined in Section 4.12(a).
