Eagle Employee definition

Eagle Employee shall refer to those directors, officers and employees of Eagle or any Affiliate of Eagle (other than a Company) which are currently also directors or officers of a Company, which latter position is to terminate as of the Closing Date.

  • While acting as an Employee for the Company, notwithstanding the foregoing, with the exception of Iron Eagle, Employee may own, directly or in directly, solely as an investment, up to five percent (5%) of any class of Publicly Traded Securities of any person or entity which owns a competitive business.

  • No asset of any Eagle Employee Plan is subject to tax as unrelated business taxable income.

  • There has occurred no breach of a fiduciary duty owed pursuant to Section 404 of ERISA with respect to any Eagle Employee Plans.

  • Eagle has made available to Community Trust true and complete copies of all contracts with third party administrators, actuaries, investment managers, consultants, and other independent contractors that relate to any Eagle Employee Plan, all reports submitted within the four years preceding the date of this Agreement by third party administrators, actuaries, investment managers, consultants, or other independent contractors with respect to any Eagle Employee Plan.
