Each Shareholder definition

Each Shareholder has full power, legal right and authority to enter into, execute and deliver this Agreement and the other agreements, instruments and documents contemplated hereby and to carry out the transactions contemplated hereby.
Each Shareholder has the legal capacity to execute, deliver and perform this Agreement. This Agreement constitutes a valid and binding obligation of the Shareholder enforceable against him or her in accordance with its terms. If the Shareholder is married and the Shares constitute community property under applicable law, the spouse of each Shareholder shall consent to be bound by the provisions of this Agreement by executing the Consent of Spouse attached hereto as Exhibit B and made a part hereof.
Each Shareholder s Contribution to the Escrow Account as set forth on Exhibit A hereto (plus any interest thereon and less any funds disbursed from the Escrow Account to any Indemnified Person that are attributable to such Shareholder, as the case may be, in accordance with the terms of this Agreement and the Asset Purchase Agreement) is herein referred to as such Shareholder's "Escrow Amount," respectively. The Escrow Amount shall be held by the Escrow Agent in a separate and distinct account (the "Escrow Account"), in accordance with the terms and conditions hereinafter set forth.   • Each Shareholder with a registered address outside Australia acknowledges that, with the approval of the Home Branch, the Company may, as contemplated by the Listing Rules, arrange for a nominee to dispose of any of its entitlement to participate in any issue of Shares or Share Options by the Company to Shareholders.

For the purposes of this Section, in addition to the Shares which a corporation, Person or other entity beneficially owns directly, (a) any corporation, Person or other entity shall be deemed to be the beneficial owner of any Shares (i) which it has the right to acquire pursuant to any agreement or upon exercise of conversion rights or warrants, or otherwise (but excluding share options granted by the Trust) or (ii) which are beneficially owned, directly or indirectly (including Shares deemed owned through application of clause (i) above), by any other corporation, Person or entity with which its "affiliate" or "associate" (as defined below) has any agreement, arrangement or understanding for the purpose of acquiring, holding, voting or disposing of Shares, or which is its "affiliate" or "associate" as those terms are defined in Rule 12b-2 of the General Rules and Regulations under the Securities Exchange Act of 1934, and (b) the outstanding Shares shall include Shares deemed owned through application of clauses (i) and (ii) above but shall not include any other Shares which may be issuable pursuant to any agreement, or upon exercise of conversion rights or warrants, or otherwise.

  • Existing Shareholder means any Person that is a holder of Ordinary Shares as of December 8, 2017.

  • Major Shareholder means a shareholder who directly or indirectly holds 10% or more of the voting rights.
