EA Business definition

EA Business means the business of the manufacture and marketing of metal products for the building trade carried on by Easy Arches Limited.

  • These Terms Relating to Sale of Your EA Business (referred to in these terms as “Sale Terms”) form part of the NMA.

  • For the avoidance of doubt, this also includes not giving or disclosing log-in or access details to the Admin Panel to anyone else nor permitting anyone else to use it other than a) your personnel in accordance with clause 3 or b) clients of Your EA Business accessing only their own Apps to manage those Apps.

  • Any such documentation must include an indemnity from you to EA or to the nominated Person for all liabilities incurred in relation to Your EA Business up to the date of the transfer and must include notification and transfer of any necessary access or log- in details to effect the transfer for example the transfer of client contracts and Apps.

  • For the avoidance of doubt consent is not needed for suppliers of utilities, services or goods to you or Your EA Business unless the items or services are for onward supply to clients.

  • However, if EA exercises its option under sub-clause 4.1, for the avoidance of doubt you now irrevocably assign all contracts Specified by EA including all rights to payments and benefits from Apps and clients of Your EA Business under such contracts from the termination or expiry date, whether or not you confirm this in writing.

  • Sales and transfers of Your EA Business are to be dealt with in accordance with the Terms Relating to Sale of Your EA Business.

  • You will not use the Database for any purpose outside Your EA Business nor for any purpose contravening the Confidentiality and Restrictions Terms and will not copy or transfer or disclose the Database to any third party and it forms part of the Confidential Information as defined in this NMA.

  • If there is more than one of you this clause shall apply to the last one to die or be incapacitated unless EA believes that the death or incapacity of one of you is likely to have a material detrimental effect on Your EA Business.

  • Company Business means the business of the Company as presently conducted.

  • Alarm business means the business by any individual, partnership, corporation, or other entity of selling, leasing, maintaining, servicing, repairing, altering, replacing, moving or installing any alarm system or causing to be sold, leased, maintained, serviced, repaired, altered, replaced, moved or installed any alarm system in or on any building, structure or facility.
