Where DXN has failed to meet a Service Availability Target for a Service Incident indicated in clauses 7.1, 8.1, 10.1 and 11.1 except where due to an Excluded Event as set out in clause 4.9, the Customer is entitled to a rebate as set out in clauses 7.1, 8.1, 10.1 and 11.1 of this document.
If the Customer fails to pay any amount due on the due date for payment, DXN may immediately deduct that amount from the Security Deposit in set-off of the Customer’s payment obligation.
To the extent permitted by law, DXN makes no warranties, express or implied or otherwise to any such third party including but not limited to implied warranties.

DXN will use its best endeavours to provide Customer with 10 workings days’ notice of any scheduled maintenance where reasonably possible.
The parties agree that Rebates represent a reasonable and genuine pre-estimate of the anticipated or actual loss or damage which would be incurred by Customer as a result of a failure by DXN to meet the relevant Service Levels.
In order to minimize the likelihood of impact to Customers, DXN will use all reasonable endeavours to limit the occurrence and impact of any Planned Maintenance.
This Service Level Agreement (SLA) is an extension of DXN’s commitment to providing its Customers with a quality service and outlines service availability targets for DXN services and how DXN manages service interruptions and service requests.
