DWL Group will undertake the necessary efforts to mitigate the various business risks identified.
Notwithstanding the above, DWL Group will use its best endeavour to ensure that every effort is made to comply with the terms of Agreement so that Purchase by the Lessee/Buyer will be completed in accordance of the terms and conditions of the Agreement.
Save for the financial risk of the Lessee/Buyer failing to pay the monthly rental, the Board is unaware of any risks arising from the Lease which could materially or adversely affect the financial and operating conditions of DWL Group.

Currently, the CMPA with Arena Progresif Sdn Bhd (“APSB”) is still in force and DWL Group is exploring on other viable options for the 2 plots of development land held by APSB with a total land size of 822,212 square foot.
The highest percentage ratio applicable to the Lease and Purchase pursuant to Paragraph 10.02(g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad is 8.26%, calculated based on the aggregate value of the consideration given in relation to the Lease and Purchase, compared with the net assets of DWL Group.
The Agreement will enable DWL Group to gain access to the Completed Development Lands in Melaka, representing an optimistic and a timely opportunity for the Group as an investment in terms of its future capital appreciation potential and/or the Group’s strategy to further extend into development sector, in particular land development in strategic locations with strong growth potential, easy accessibility and ready amenities and infrastructure for greater sustainability to future earnings.
These shall improve the cash flow position of DWL Group and reduce DWL Group’s dependence on bank borrowings.
In the event of the Lessee/Buyer fails to settle the Purchase Price, the Purchase may be delayed or terminated, and DWL Group will not be able to meet its objective as stated in item 6 above.
