Multiband’s, DTHC’s, and MMT’s independent appraisers and financial advisors shall have issued opinion letters and corresponding valuation reports to Multiband’s, MMT’s, and DTHC’s Boards of Directors, respectively, dated as of the Closing, to the effect that the transactions contemplated by this Agreement as a whole, including the Share Exchange, are fair to Multiband, MMT, and DTHC and their shareholders, respectively, from a financial point of view.
