Notwithstanding the foregoing, Sellers and its Affiliates shall not be responsible for any Liabilities relating to the DSC Actions (1) in excess of the funds held in the DSC Escrow Account, in respect of the DSC Costs up to the First DSC Threshold, or (2) in an aggregate amount in excess of the DSC Cap.
Sellers shall have 30 days following the submission by Buyers to Sellers of a DSC Monthly Report to review and dispute in writing any calculations of DSC Costs set forth on such DSC Monthly Report.
The Parties shall use their commercially reasonable efforts to resolve any such disputes promptly and, in the event that, following any such dispute resolution, it is determined that US Buyer received payment for any DSC Costs that should not have been paid pursuant to the terms of this Section 5.17, US Buyer shall promptly, and in any event within ten days, reimburse the Escrow Account or US Seller, as applicable, for such amount.
