Drop Off Date definition

Drop Off Date means, (i) for the period from the Closing Date of Phase I until the Closing Date of Phase II, the first date that any Shares are Transferred (as defined below) by either Seller (or any Permitted Transferee) to any transferee that is not a Permitted Transferee, and (ii) for the period from and after the Closing Date of Phase II, the date upon which the Sellers’ Ownership of the Shares is less than 5% of the Company’s total outstanding Class A Common Stock calculated on a fully diluted basis.

  • Except for the provisions set forth in Articles 3, 4, 6 and 7, which shall survive until the later of the Drop Off Date and December 31, 2011, or as may otherwise be provided in any section of this Agreement, all rights and obligations of the parties under this Agreement will terminate on the Drop Off Date.

  • Cut-off Date With respect to each Original Mortgage Loan, December 1, 1998. With respect to all Qualified Substitute Mortgage Loans, their respective dates of substitution.
