As of the Date of this Agreement, each of the Lease Agreement, Drilling Contracts and Other Contracts is valid, binding and in full force and effect against BVI (or, with respect to certain Consent Required Contracts, Andr▇▇▇ ▇▇ Driltech), and, to the knowledge of Seller and Parent, is valid, binding and in full force and effect against the other party thereto.
