Draw-down Bond Issuance definition

Draw-down Bond Issuance means a draw-down loan as defined for purposes of 26 U.S.C. sections 103 and 141 through 150 (generally, a Bond issue in which Bonds are delivered to the Bond purchaser intermittently as funds are needed by the Bond Issuer and the Bond Issuer only provides payments based on the amount of Bonds drawn-down).

  • Draw Down shall have the meaning assigned to such term in Section 6.1(a) hereof.

  • Funding Date is any date on which a Credit Extension is made to or for the account of Borrower which shall be a Business Day.

  • Series Issuance Date means, with respect to any Series, the date on which the Notes of such Series are to be originally issued in accordance with Section 2.12 and the related Indenture Supplement.

  • Issuance Amount means the aggregate Sales Price of the Shares to be sold by the Agent pursuant to any Issuance Notice.

  • Incremental Facility Closing Date has the meaning set forth in Section 2.14(d).

  • Initial Bonds means the Bonds issued on the First Issue Date.

  • Subsequent Notes means any Notes issued after the First Issue Date on one or more occasions.

  • Initial Borrowing Date means the date occurring on or after the Effective Date on which the initial Borrowing of Loans occurs.

  • Initial Advance means the first Advance made pursuant to Article II.

  • Commitment Amount means the aggregate amount of up to Ten Million Dollars ($10,000,000) which the Investor has agreed to provide to the Company in order to purchase the Company's Common Stock pursuant to the terms and conditions of this Agreement.

  • Optional Redemption Pricing Date means a Valuation Date on which a Redemption Order is determined to be valid and accepted by or on behalf of the Issuer in accordance with the terms of the LS Operating Procedures Agreement.

  • Incremental Facility has the meaning specified in Section 2.16(a).

  • Purchase Commitment means a written commitment, in form and substance satisfactory to Lender, issued in favor of Borrower by an Investor under which that Investor commits to purchase Mortgage Loans or Mortgage-backed Securities.

  • Draw Date means, with respect to any Distribution Date, the second Business Day immediately preceding such Distribution Date.
