The following public involvement services will be performed to support the Big Creek CDBG- DR Project, including but not limited to: • Compliance with NEPA and HUD / GLO requirements for public communication.
The Supplier is liable for and shall pay, or cause to be paid, or reimburse the Buyer if the Buyer has paid, all Taxes applicable to the supply of the Contracted Demand Reduction which relate to DR Project.
The Supplier shall not participate in any voluntary programs with respect to any Environmental Attributes associated with the DR Project without the prior written consent of the Buyer, which consent may be unreasonably withheld.
To the extent that the DR Project has failed to do so at any time, the DR Verification Certificate shall so state and set out the reasons for such failure.
If the DR Project requires the participation of third party loads, delivery to the Buyer of a certificate addressed to it from the DR Verification Consultant, stating that the Supplier has executed DR Third Party Agreements as collectively represent 80% of the Maximum Contracted Demand Reduction, which shall occur no later than one year prior to the milestone for Commercial Operation.
For purposes of this paragraph, if the Proposal provides that the Connection Point, or Connection Points with respect with respect to multiple Loads being aggregated, are within a Priority Electrical Zone, and/or if the Proposal provides that the DR Project will provide Automatic System Voltage Support, then the failure of the DR Project to meet any one or more of such requirements shall be deemed to be a Proposal Amendment.
Each CDR Check Test shall consist of the DR Project curtailing Electricity demand in response to Operational Directives for six (6) continuous hours during a period designated by the Supplier in advance as a test period (but which hours shall be during Callable Hours) subject to coordination and approval of the IMO.
The Supplier further agrees that the DR Project shall not burn Oil as a Primary Fuel and shall not burn any coal or Municipal Solid Waste.
In the event that the IMO Market Rules are not applicable to the Supplier because the Supplier is not a “market participant” pursuant to the IMO Market Rules, then the Supplier shall be required to meet the requirements of the IMO Market Rules with respect to the DR Project to the same extent and standards as would have been required if the Supplier were governed by the IMO Market Rules with respect to the DR Project.
