DPUC Approval means the order or orders of the DPUC approving this Agreement and the Related Agreements and the consummation of the transactions contemplated hereby and thereby and all related matters, including without limitation approval of the amount of the proceeds of the sale of the Acquired Assets, such order or orders to be in a form which is final, unconditional and unappealable by any Person, including exhaustion of all administrative and judicial appeals or remedies and the running of time periods and statutes of limitation for rehearing and judicial review.
