Downtime Incident definition
Downtime Incident means the time in which Company Service is unavailable to the Customer as measured and determined solely by Company based on its servers. Downtime Incidents shall exclude: planned downtime incidents announced in-advance by Company, including without limitation, for periodic upgrade and maintenance; and/or any time where Company is awaiting information from the Customer or awaiting Customer confirmation that the Service has been restored.

Downtime Incidents shall exclude: (i) planned downtime incidents announced in-advance by Company, including without limitation, for periodic upgrade and maintenance, cyber attacks on Company's collectors (hardware or virtual) within the Customer’s network, (ii) network disruption between a Customer’s network and the Service outside of Company's control; (iii) Downtime Incidents that are caused by the SLA Exclusions specified below, and/or (iv) any time where Company is awaiting information from the Customer or awaiting Customer confirmation that the Service has been restored.
Downtime Incident means an occasion when Downtime occurs.
Examples of Downtime Incident in a sentence
Franchisee undertakes to promptly notify Franchisor of any incident which is or could with the passage of time constitute a Material Interruption ("Downtime Incident" and the notice thereof, "Defect Notice").
Franchisor undertakes to use reasonable efforts to promptly cure any such Downtime Incident, which it shall do at its sole cost and expense.
For purposes of the foregoing, "unable to access" shall mean loss of connectivity by the Customer to the Hosted Application Services due to reasons which are not beyond the Service Provider’s control as Downtime Downtime Minutes Downtime Incident stipulated in the Service Level Objectives section of the Agreement.

Downtime Incident means the time in which Software is unavailable to Customer as measured and determined solely by Company based on its servers. Downtime Incidents shall exclude: (i) reasonable planned downtime incidents announced at least twenty-four (24) hours' in advance by Company, including without limitation, for periodic upgrade and maintenance, cyber attacks on Company's collectors (hardware or virtual) within Customer’s network; (ii) network disruption between a Customer’s network and the Software outside of Company's control; (iii) Downtime Incidents that are caused by the SLA Exclusions specified below; (iv) separate instances of Software unavailability of less than five (5) minutes duration each; and/or (v) any time where Company is awaiting infor- mation from Customer or awaiting Customer's confirmation that the Software has been restored.
