Downline Distributors definition

Downline Distributors is defined in Section 5.

Examples of Downline Distributors in a sentence

  • No press release, publicity, disclosure or notice to any Person concerning any of the transactions contemplated by this Agreement will be issued, given, made or otherwise disseminated by Distributor or any Downline Distributors at any time without the prior written approval of Winalite.

  • Distributor may sub-license the Intellectual Property only to Downline Distributors, as that term is defined in the Distribution Agreement, but may not grant to any sub-licensee any more right than are granted to Distributor by Section 1 of this Agreement.

  • Distributors must mentor and monitor other Distributors in their Organizations to ensure that Downline Distributors do not put their CannaGlobe Business or the Company at risk by violating these Policies and Procedures.

  • Distributor will use its best efforts to ensure the compliance by all Downline Distributors with all obligations imposed on them by their appointment, including without limitation their obligation to maintain the confidentiality of all Winalite Confidential Information.

  • Any sub-distributors appointed by Distributor, together with any further sub-distributors of the Products, are referred to collectively as the “Downline Distributors.” Distributor will promptly inform Winalite of the appointment and identity of all Downline Distributors and, at least semi-annually, of the activities of the Downline Distributors.

  • Downline Distributors will not be moved with the transferring Distributor unless all of the requirements of this paragraph are met.

  • Examples of such contact and communication may include, but are not limited to: newsletters, written correspondence, personal meetings, telephone contact, voicemail, email, and the accompaniment of Downline Distributors to Company meetings, training sessions, and other functions.

  • Communication with and training of Downline Distributors must not in any way violate any Policies and Procedures herein.

  • Downline Distributors will be moved with the transferring Distributor unless otherwise requested.
