Domus Acquisition definition

Domus Acquisition means the Acquisition by the Borrower of all or substantially all of the stock of Domus pursuant to the Domus Acquisition Documents, which is currently scheduled to be completed on or before September 30, 2004.

  • Satisfactory results of all due diligence required by the Agent, including without limitation a review of all contingent liabilities, a review of contracts and insurance, a review of all litigation, environmental matters, all retiree medical benefits, ERISA matters and other due diligence with respect to Domus and the Domus Acquisition required by the Agent.

  • The Borrower and its Subsidiaries shall have obtained all governmental authorizations and all consents of other Persons, in each case that are necessary in connection with the Domus Acquisition and the other transactions contemplated by the Loan Documents and the Domus Acquisition Documents, and each of the foregoing shall be in full force and effect.
