Madeco hereby gives to the Bank, under the terms of Article 241 of the Commercial Code, the amount of [___] Pesos equivalent on the date hereof to US$24,000,000 (twenty four million dollars of the Unites States of America) pursuant to the value of the "Dolar Observado" published in the "Official Gazette" on the date hereof (hereinafter the "Funds").
According to the Amended and Restated Agreements, Madeco is obligated to take from the Capital Increase and deliver to a financial entity on the Effective Date, as defined in the Local Amendment and Restatement Agreement, the amount equivalent in Pesos to U.S.$24,000,000 pursuant to the value of the "Dolar Observado" published on the Effective Date, in order to fulfill the objectives mentioned further on.

The effective exchange rate to convert any adjustment to the Purchase Price expressed in Chilean pesos into US Dollars, shall be the Dolar Observado exchange rate as published by the Central Bank of Chile in effect on the date the payment of the Up-Front Purchase Price are to be made pursuant to this Agreement.
