Documents and Information definition

Documents and Information means the documents and information set out in the Schedule to this letter, together with any ancillary, incidental or connected documents or information relating thereto.

Examples of Documents and Information in a sentence

  • All City Documents and Information shall be the exclusive property of the City and shall be deemed to be “Works for Hire.” Consulting Engineer/Architect hereby assigns all right, title and interest in and to the City Documents and Information, including but not limited to, all copyright and patent rights in and to the City Documents and Information.

  • All City Documents and Information prepared by Consulting Engineer/Architect in contemplation of, or in the course of, or as a result of this Agreement or work on the Project, shall be promptly furnished to the City.

  • Buyer covenants and agrees to make its own independent investigation and verification of the accuracy, sufficiency and completeness of the Documents and Information.

  • Buyer acknowledges that the Documents and Information do not predict the degree to which the business to be conducted on the Real Property and Improvements may succeed, if at all.

  • Contractor hereby assigns all right, title, and interest in and to the City Documents and Information, including but not limited to, all copyright and patent rights in and to the City Documents and Information.

  • All City Documents and Information shall be the exclusive property of the City and shall be deemed to be works-for-hire.

  • Notwithstanding the foregoing, Owner may disclose Confidential Documents and Information to the extent required by any applicable statute, law, regulation or governmental authority, judicial order, legal process or stock exchange listing requirements or in connection with any litigation that may arise in connection with the transactions contemplated by this Agreement, the Program Documents, and/or the Properties.

  • Notwithstanding the foregoing, Owner Parties may disclose Confidential Documents and Information to the extent required by any applicable statute, law, regulation or governmental authority, judicial order, legal process or stock exchange listing requirements or in connection with any litigation that may arise in connection with the transactions contemplated by this Agreement, the Program Documents, and/or the Properties.

  • The parties agree and acknowledge that unless noted in the purpose of this Agreement or the Scope of Work the City Documents and Information are not intended or represented to be suitable for reuse by the City or others on any other project.

  • Buyer acknowledges that the Documents and Information do not predict the degree to which the business to be conducted on the Real Properties and Improvements may succeed, if at all.

Related to Documents and Information

  • Background Information means various types of information provided by the Sponsors and is defined in RFP Section 2.4(1)(b);

  • Electronic and Information Resources means information resources, including information resources technologies, and any equipment or interconnected system of equipment that is used in the creation, conversion, duplication, or delivery of data or information. The term includes telephones and other telecommunications products, information kiosks, transaction machines, Internet websites, multimedia resources, and office equipment, including copy machines and fax machines.

  • Foreground Information means any Invention first conceived, developed or reduced to practice as part of the Work under the Contract and all other Technical Information conceived, developed or produced as part of the Work under the Contract;

  • network and information system have the meaning set forth in OAR 407-014-0305, as such rule may be revised from time to time.

  • Transferred Information means the personal information (namely, information about an identifiable individual other than their business title or business contact information when such information is used for the purposes of contacting an individual in that individual’s capacity as an employee or an official of an organization and for no other purpose) to be disclosed, transferred or conveyed to the Recipient or any of its Representatives by or on behalf of the Disclosing Parties as a result of or in conjunction with the transactions contemplated herein.
