All City Documents and Information shall be the exclusive property of the City and shall be deemed to be “Works for Hire.” Consulting Engineer/Architect hereby assigns all right, title and interest in and to the City Documents and Information, including but not limited to, all copyright and patent rights in and to the City Documents and Information.
All City Documents and Information prepared by Consulting Engineer/Architect in contemplation of, or in the course of, or as a result of this Agreement or work on the Project, shall be promptly furnished to the City.
Buyer covenants and agrees to make its own independent investigation and verification of the accuracy, sufficiency and completeness of the Documents and Information.
Buyer acknowledges that the Documents and Information do not predict the degree to which the business to be conducted on the Real Property and Improvements may succeed, if at all.

Notwithstanding the foregoing, Owner may disclose Confidential Documents and Information to the extent required by any applicable statute, law, regulation or governmental authority, judicial order, legal process or stock exchange listing requirements or in connection with any litigation that may arise in connection with the transactions contemplated by this Agreement, the Program Documents, and/or the Properties.

The parties agree and acknowledge that unless noted in the purpose of this Agreement or the Scope of Work the City Documents and Information are not intended or represented to be suitable for reuse by the City or others on any other project.
