Documentation and. SECURITY: All passenger names and weights must be provided to Charter Company within 24 hours of the departure date (72 hours for International Flights). A valid government-issued photo ID is required for all passengers over the age of 18 prior to the passenger boarding the flight. The Customer is further responsible for obtaining any travel authorization documents such as passports and visas that may be required by any governmental authority. In the event the customer provided ID and/or security information is invalid, all liability for government issued fines is the customer's responsibility. Customer also understands that any inconsistencies in the passenger manifest may cause departure delays. In the event a minor under the age of 18 is traveling with only one parent or legal guardian, notarized documentation signed by the absent parent or legal guardian must be submitted to First Wing Management 24 hours prior to departure releasing the company from any responsibility. ITINERARY CHANGES and TRANSMITTAL OF CHANGES: Itinerary changes are permitted, but are subject to aircraft and crew availability and subject to price adjustment. The listed price is valid for only the exact routing shown in the signed contract. Any changes or additional routing, including the use or sale of any “positioning legs” or “empty legs,” must be approved and confirmed in writing by the Charter Company. Notification of changes and/or cancellations must be transmitted by email to ▇▇▇▇▇▇▇@▇▇▇▇▇▇▇▇▇.▇▇▇ within the cancellation period specified in this contract. CANCELLATION: Unless agreed to otherwise, round trips have the following cancellation fees: 50% if cancelled within 7 days of departure date;100% if cancelled within 48 hours of scheduled charter. A no show will be charged the full amount of the charter cost. One-Way trips are 100% non- refundable upon booking. Peak travel periods are subject to 100% cancellation penalty whether one-way or full round trip. For the purposes of this agreement, a Peak travel period is defined as 3 days prior to until 3 days after any official US national holiday. OPERATIONAL CONTROL: Aircraft owned or leased by Charter Company are operated under FAA Part 135 Air Carrier Certificate #F27A770J. Documentation and. Timing All documentation prepared in connection with the Restructuring, including without limitation, the Definitive Restructuring Documents, and any documents, motions, pleadings, orders or similar documentation prepared or filed by HD in connection with the Restructuring, shall be in form and substance reasonably satisfactory to the Requisite Principal Holders and reasonably acceptable to HD. The HD Backstop Agreement shall have been executed prior to the Petition Date and shall be consistent with the terms hereof and shall otherwise be satisfactory to the Requisite Principal Holders. A $55 million junior term loan (“DIP Notes Facility”) to be provided by some or all of the Principal Holders (in their capacity as such, the “DIP Lenders”) and $100 million senior asset based credit facility (“DIP ABL Facility” and together with the DIP Notes Facility, the “DIP Financings”) for debtor-in-possession financing shall have been agreed upon and committed no later than the Petition Date on terms satisfactory to the Requisite Principal Holders, and shall be the subject of a motion for approval to be filed no later than the Petition Date, and shall receive interim approval within three (3) calendar days after the Petition Date and final approval within thirty-five (35) calendar days after the Petition Date.

  • Licensee agrees that it will not submit the Software, Documentation or other SAP Materials to any government agency for licensing consideration or other regulatory approval without the prior written consent of SAP, and will not export the Software, Documentation and SAP Materials to countries, persons or entities prohibited by such laws.

  • The Software, Documentation and SAP Materials are subject to the export control laws of various countries, including without limit the laws of the United States and Germany.

  • The Software and any copies You make of the Software , is only licensed, and not sold, to You, and the Software, all Documentation and any Content provided to You by RIM or its affiliates as part of a RIM Service and any site(s) which allow You to access any RIM Services are protected by Canadian, U.S. and international copyright and patent laws and international treaty provisions.

  • Related Documentation means, with respect to Software, all materials, documentation (including control documentation utilized in connection with an audit), specifications, technical manuals, user manuals, flow diagrams, file descriptions and other written information that describes the function and use of such Software, but excluding source code.

  • User Documentation means that documentation regarding the operation, guidelines and features and functionality of Clover Insights that is made available to you from time to time at the website, by internet link or otherwise. User Documentation may be modified from time to time by First Data or its third party provider(s).

  • Limited Documentation Program The guidelines under which the Seller generally originates Mortgage Loans principally on the basis of the Loan-to-Value Ratio of the related Mortgage Loan and the creditworthiness of the Mortgagor.
