Sourcefire shall pay Patriot an annual fee, at cost, for Patriot’s use of the Do Not Ship List on Sourcefire’s behalf, provided, however, to the extent the Do Not Ship List is used by Patriot for the benefit of other customers, then such fee owed by Sourcefire to Patriot shall be pro-rated based on Sourcefire’s use in relation to all other customers’ use.
In furtherance of this objective, Patriot shall (a) obtain, and at all times use, a Do Not Ship List from a reputable third party provider, (b) compare the destination and all recipients in the distribution chain specified in each Order (including, but not limited to, all distributors, resellers and ultimate end users) to such Do Not Ship List, and (c) not ship any Products or Customer Ready Products to any individuals, entities or jurisdictions that are on the Do Not Ship List.
In furtherance of this objective, Premio shall (a) obtain, and at all times use, a Do Not Ship List from a reputable third party provider, (b) compare the destination and recipient specified in each Order to such Do Not Ship List, and (c) not ship any Products or Other Products to any individuals, entities or jurisdictions that are on the Do Not Ship List.
Patriot agrees that it will not charge Sourcefire a ▇▇▇▇-up on Patriot’s cost of the annual fee for the Do Not Ship List and Sourcefire will not pay for the full amount of the annual fee paid by Patriot if Patriot also uses the Do Not Ship List to provide services to other customers.
