SUT is the owner of 100 shares of the common stock, no par value per share ("DNE Common Stock"), of DNE Systems Inc., a Delaware corporation ("DNE"), constituting all of the issued and outstanding shares of capital stock of DNE (the "DNE Shares").
With respect to all provisions of this Agreement and other Credit Documents, all of the Capital Stock of DNE Systems owned by the Parent shall be treated as if it is all owned directly by the Borrower.
Without limiting the foregoing, all financial statements and all financial tests contained herein shall be determined as if all the Capital Stock of DNE Systems owned by the Parent is owned by the Borrower.
