  • No suit, administrative proceeding, action or other litigation has been brought, or to the best knowledge of DMC is threatened, against or with respect to any such DMC Employee Plan, including any audit or inquiry by the IRS or United States Department of Labor.

  • DMC has also furnished Measurex with the most recent Internal Revenue Service determination letter issued with respect to each such DMC Employee Plan, and nothing has occurred since the issuance of each such letter which could reasonably be expected to cause the loss of the tax-qualified status of any DMC Employee Plan subject to Code Section 401(a).

  • DMC has not failed to make contributions to any Employee Benefit Plan that are required to be made on or after the Six-Year Look Back Date under the terms of such DMC Employee Benefit Plans or under applicable law.

  • All DMC Employee Benefit Plans are in compliance in form and in operation with the relevant provisions of ERISA and the Code, and all other laws applicable to all of the Employee Benefit Plans.

  • To the knowledge of DMC, no material tax or penalty on prohibited transactions or any other liability imposed by Section 4975 or under ERISA has actually been imposed on any employee of DMC in such employee's capacity as a party in interest with respect to any of the DMC Employee Benefit Plans.

  • None of the DMC Employee Benefit Plans provides or is required to provide for the payment of premiums by DMC to maintain life insurance coverage for any former employee of DMC for any period following the last day of the calendar month in which a termination of employment of such former employee occurs.

  • No DMC Employee Benefit Plan invests in any security issued by DMC, or in any property leased to DMC.

  • Public employee means an individual holding a position by appointment or employment in the government of this state, in the government of 1 or more of the political subdivisions of this state, in the public school service, in a public or special district, in the service of an authority, commission, or board, or in any other branch of the public service, subject to the following exceptions:

  • SpinCo Employee has the meaning set forth in the Employee Matters Agreement.

  • Former Employee means an individual who has severed employment with the Employer or an Affiliated Employer.

  • Company Employee means an employee of the Company or any of its Subsidiaries.
