  • The term “Pro Rata Portion” means, with respect to Seller or a given Unitholder and a given amount (such given amount, the “Divisible Share”), (i) a fraction, the numerator of which is the amount of Final Transaction Consideration actually distributed to such Person and the denominator of which is the Final Transaction Consideration, multiplied by (ii) the Divisible Share.
