Divestco definition

Divestco means HealthMont of Texas, Inc., a Tennessee corporation, and its wholly owned Subsidiaries.
Divestco has the meaning set forth in the Amended Merger Agreement.

  • All corporate proceedings and all other legal matters in connection with the authorization, legality, validity and enforceability of the Loan Documents, the Divestco Disposition Documents and the Amended Merger Agreement shall be reasonably satisfactory in form and substance to each Lender.

  • The Company may be required: (i) to file notice with the State of Georgia at least thirty (30) days prior to consummation of the Merger; (ii) to file notice with the State of Missouri within fifteen (15) days after consummation of the Merger; and (iii) to file notice with the State of Texas within fifteen (15) days after consummation of the Divestco Disposition.
