Diverted Product definition

Diverted Product means: (i) expired, defective, or out of specification Product that is diverted from planned destruction; (ii) Product within Evoke’s product quality specifications that is intended for one market and sold or transferred into another market in violation of applicable laws, regulations, Evoke policies, or Evoke contracts; (iii) Product stolen from within the distribution or supply chain; (iv) Product acquired, repackaged, and sold by a third party in a standard or customary size or unit of measure that Evoke currently offers for sale in the Territory; or (v) Product sold by Evoke for use in non-domestic markets which is subsequently sold or imported for sale or use in the Territory.
Diverted Product has the meaning provided in Section 2.4.
Diverted Product means Product subject to a Diversion Event or Product detected as available to unlicensed Territories.

  • BRP will not divert Product or knowingly purchase and resell Diverted Product.

  • Licensee will cooperate with and assist Gilead in investigating incidents of suspected or confirmed Counterfeit Product or Diverted Product pursuant to Section 6.1(a), including efforts to prevent unauthorized exports and resale of Product outside Licensee’s authorized supply chain and outside the applicable country in the Territory and providing Gilead with any applicable Customer information reasonably requested by Gilead.

  • Licensee will report to Gilead any incidents of confirmed Counterfeit Product or Diverted Product within 24-hours.

  • If MITEK reasonably believes that Diverted Product is being marketed or used in the United States of America, and has caused financial loss to MITEK of at least [***], MITEK shall promptly notify ANIKA of such belief, and provide ANIKA with a written description of the basis for MITEK’s belief.

  • Should any Product that Eversana knows to be Diverted Product come into Eversana's possession, Eversana shall immediately deliver such Diverted Product to Evoke.


More Definitions of Diverted Product

Diverted Product means Product that is or has been: (i) distributed in a country or geographic region other than the country or geographic region in which it was intended by LifeScan or its Affiliates to be distributed, or (ii) that was originally sold for distribution into any channel other than retail, other than as originally intended, and in violation of a LifeScan or LifeScan Affiliate policy, contract law or regulation.
Diverted Product means (i) expired, defective, or out of specification Product that is diverted from planned destruction, (ii) Product within ARIAD’s product quality specifications that is intended for one market and sold or transferred into another market in violation of applicable laws, regulations, ARIAD policies, or ARIAD contracts, (iii) Product theft from within the distribution or supply chain, (iv) Product acquired, repackaged, and sold by a third party in a standard or customary size or unit of measure that ARIAD currently offers for sale in the Territory, or (v) Product sold by ARIAD for use in non-domestic markets which is subsequently sold or imported for sale or use in the Territory.
Diverted Product has the meaning set forth in Article X(a)(iii) of this Agreement.
