Diversicare or any derivative thereof. On the Transfer Date, DALS will make, execute and deliver a Bill of Sale and Assignment in the form attached hereto as Exhibit B ▇▇▇▇icient to transfer DALS's Personal Property to Lessor. The presence of the DALS's Personal Property at the Facility on the Transfer Date shall constitute delivery thereof. Any items of DALS's Personal Property containing the name or logo of "Diversicare" or "Advocat", or any derivative thereof, at the Facility as of the Transfer Date shall be replaced and either destroyed by Lessor or returned to DALS.

Buyer further acknowledges and agrees that Buyer shall have no right to, and will not, have the right to use the Medicaid provider number of Seller for any purpose on and after the Closing Date. The provisions of this Section 1.2 shall survive the Closing.

Telemedicine means the delivery of clinical Healthcare Services by use of real time, two-way synchronous audio, video, telephone-audio-only communications or electronic media or other telecommunications technology including, but not limited to: online adaptive interviews, remote patient monitoring devices, audiovisual communications, including the application of secure video conferencing and store-and-forward technology to provide or support healthcare delivery, which facilitate the assessment, diagnosis, counseling and prescribing treatment, and care management of a patient’s health care while such patient is at an Originating Site and the Healthcare Provider is at a Distant Site, consistent with applicable federal laws and regulations. “Telemedicine” does not include an email message or facsimile transmission between a Provider and patient, or an automated computer program used to diagnose and/or treat ocular or refractive conditions.
